In these Terms, “ClearState”, “we”, “us” or “our” means VND Scandinavia AB. “Customer”, “you” or “your” means the company, organisation or business user using the service.
ClearState is provided for business and organisational use only. It is not intended for consumers or private household use.
By using ClearState, you confirm that you are acting on behalf of a business, organisation or professional activity, and that you have authority to use the service for that purpose.
ClearState provides policy analysis, rule review and decision-support tooling. The service helps users analyse policy text, identify approval paths, gaps, required decision inputs and related policy structure.
ClearState does not execute transactions, make business decisions on your behalf, or replace your own legal, compliance, operational or management review.
You remain responsible for your own policies, approvals, business decisions and use of the output.
ClearState is a commercial service. We may offer free evaluation access, trial access, limited promotional access or marketing-based access for a limited period.
Free or evaluation access does not create a right to continued free use. We may change, limit, suspend or end free evaluation access at any time.
Paid plans will be introduced later. If you enter into a paid plan, additional commercial terms, order terms or payment terms may apply.
Some parts of ClearState may be available without signing in. Other parts require an account, sign-in or organisation setup.
You are responsible for keeping account access secure and for ensuring that only authorised people use the service on behalf of your organisation.
You must not share login credentials, misuse authentication flows, attempt to access another organisation’s data, or bypass technical restrictions.
You may submit policy text, business rules, approval policies, operational information or other content to ClearState.
You are responsible for ensuring that you have the right to submit that content and that the content is lawful, accurate and appropriate for the service.
Policy text stays in your browser until you choose to validate or extract it. When you validate or extract policy text, it may be sent to ClearState’s servers to provide the service.
Nothing is saved before you sign in and freeze a decision. Saved records are stored in the EU.
Customer confirmation of saved and frozen records
You decide what to submit, validate, extract, review, confirm, save and freeze. VND Scandinavia AB does not approve, verify, confirm, certify or take responsibility for the content, completeness, accuracy, legal effect or business suitability of any saved or frozen record.
A saved or frozen record reflects the customer’s own submitted content, extracted structure, review choices and confirmation choices at the time of saving or freezing. The customer is solely responsible for reviewing all outputs before saving or freezing them.
VND Scandinavia AB does not act as reviewer, approver, auditor, legal adviser, compliance officer or operational decision-maker for the customer. If the output is incomplete, unclear, incorrect or unsuitable, the customer must not save, freeze or rely on it without its own review and correction process.
You own your data.
We do not claim ownership of your policy text, records or business content. You grant us only the rights needed to operate, secure, maintain and provide the service.
Frozen decision records are intended to be immutable so that the same input, checked against the same rulebook, can produce a consistent record that is retrievable later.
Your content is never used to train AI models.
We may process your content to provide the ClearState service, including extraction, analysis, validation, policy review and generation of service output.
You must not use ClearState to:
ClearState output is generated from the information provided and the service logic available at the time of use.
You are responsible for reviewing the output before relying on it. ClearState output may identify policy gaps, unclear authority, missing input, or areas that cannot be decided from the available policy text.
ClearState does not guarantee that your policies are legally complete, commercially optimal, compliant with every applicable regulation, or suitable for every operational situation.
ClearState output may be incomplete, incorrect, unclear, outdated or unsuitable for a particular customer, policy, jurisdiction, transaction or operational context. You must independently review the output before saving, freezing, relying on or acting on it.
No ClearState output is approved, confirmed or certified by VND Scandinavia AB unless this is expressly stated in a separate signed agreement. Saving or freezing a record is the customer’s confirmation, not VND Scandinavia AB’s confirmation.
ClearState does not provide legal advice, financial advice, tax advice, audit advice, regulatory advice or professional compliance certification.
The customer is responsible for determining whether its use of ClearState is subject to sector-specific laws, regulatory approvals, audit requirements, AI governance requirements, professional review obligations, internal approval requirements or other controls that apply to the customer’s business.
ClearState is not certified or approved as a legal, audit, regulatory, financial, customs, AML, public-authority, public-procurement or other regulated decision system unless this is expressly agreed in a separate written agreement signed by VND Scandinavia AB.
You should obtain professional advice where required.
We may update, improve, restrict, suspend or discontinue parts of the service.
During evaluation, trial or promotional access, the service is provided “as is” and “as available”. We do not guarantee uninterrupted availability, error-free operation or continuous access.
We may make changes to the service, including product features, access methods, evaluation limits, pricing, technical requirements or supported use cases.
We use reasonable technical and organisational measures to protect the service and customer data.
You must use the service responsibly and must notify us promptly if you suspect unauthorised access, misuse, security issues or account compromise.
Do not submit secrets, passwords, private keys, payment card details or highly sensitive personal data unless we have expressly agreed that the service is configured for that type of data.
Each party may receive confidential information from the other.
The receiving party must protect confidential information using reasonable care and must not disclose it except as needed to provide or use the service, comply with law, or enforce these Terms.
Our processing of personal data is described in the ClearState Privacy Policy.
If you submit personal data about your employees, customers, suppliers or other individuals, you are responsible for ensuring that you have a lawful basis to do so.
A separate data processing agreement may be required for certain customer use cases.
ClearState may rely on third-party providers for hosting, infrastructure, authentication, email delivery, analytics on marketing pages, AI processing, logging or other service functions.
We do not promise that every part of processing occurs in the EU. Saved records are stored in the EU.
We may suspend or restrict access if:

To the maximum extent permitted by law, ClearState is not liable for indirect loss, loss of profit, loss of revenue, loss of business opportunity, loss of goodwill, or consequential damages.
ClearState is not responsible for business decisions, transactions, approvals, releases, payments, shipments, compliance actions or operational actions taken by you or your organisation.
During free evaluation, trial or promotional access, the service is provided without warranties to the maximum extent permitted by law.
To the maximum extent permitted by law, ClearState is not liable for incorrect, incomplete, unclear, outdated, unsuitable or misunderstood output, including any output that the customer reviews, accepts, saves, freezes, exports, shares or relies on.
To the maximum extent permitted by law, ClearState is not liable for failure to identify, extract, classify or explain any rule, authority, approval path, limit, condition, exception, gap, conflict, legal requirement, compliance requirement or operational requirement in customer content.
The customer is solely responsible for deciding whether any ClearState output or frozen record is complete, accurate, lawful, operationally suitable and appropriate for the customer’s intended use. VND Scandinavia AB does not take responsibility for the customer’s confirmation, saving or freezing of records.
Nothing in these Terms limits liability that cannot be excluded under applicable law.
You agree to protect VND Scandinavia AB from claims, damages, losses and costs arising from your unlawful use of the service, your submitted content, your breach of these Terms, or your use of ClearState output in your own business decisions.
ClearState is not responsible for delay or failure to perform caused by events outside our reasonable control, including outages, cyber incidents, natural disasters, war, labour disputes, government action, failure of suppliers, internet or hosting disruptions, or other circumstances beyond our reasonable control.
These Terms, together with any applicable order terms, product terms, privacy terms or written agreement between the parties, form the entire agreement between you and ClearState regarding your use of the service.
They replace any prior discussions, proposals, communications or understandings about the same subject matter.
If ClearState does not enforce a right under these Terms, that does not mean we waive that right. Any waiver must be in writing to be effective.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
ClearState may assign or transfer these Terms in connection with a merger, acquisition, corporate restructuring, sale of assets or transfer of the service, provided that the transfer does not materially reduce your rights under these Terms.
If any part of these Terms is found to be invalid, unlawful or unenforceable, the remaining parts will continue to apply. The invalid part will be interpreted or replaced in a way that best reflects the original purpose, to the extent permitted by law.
Any provisions that by their nature should survive termination will continue to apply after your access to the service ends. This includes provisions on ownership, confidentiality, data retention, payment obligations where applicable, disclaimers, limitation of liability, indemnity, governing law and disputes.
These Terms are governed by Swedish law.
Disputes shall be handled by Swedish courts, with Stockholm District Court as the court of first instance.
We may update these Terms from time to time. The updated version will be published on ClearStateNetwork.com or otherwise made available through the service.
If a change is material, we will take reasonable steps to notify affected users.
